Public offer to make a voluntary charitable donation
This public offer to provide a charitable donation (hereinafter referred to as the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine. This public offer of the Non-governmental organization «Ukrainian Psychology Center «THE SOUL» (hereinafter - Public Organization), tax code 45120359, registered at the address: Ukraine, 03150, Kyiv, str. Antonovycha, 39, apartment 22. , in the person of the Head of the Public Organization Vinnytsia Natalia, which acts on the basis of the Statute. This offer is for legally competent individuals and legal entities under private law, who voluntarily carry out charitable activities (hereinafter, each such person is a "Benefactor"), to enter into an agreement on the provision of a charitable donation (hereinafter - the "Agreement") on the terms described in this Offer, with each Benefactor who applies.
1. GENERAL PROVISIONS
1.1. This Offer comes into force from the moment it posted on the website of the Public Organization on the Internet at the following link: https://ukrainiancircle.com.ua

This Offer is open-ended and may be changed or withdrawn by the Public Organization at any time (prior to its acceptance by the Benefactor) by posting relevant information on the Official Pages.
1.2. The terms used in this Agreement have the following meanings:
1.2.1. Public offer - a valid offer of a Public Organization, posted on the Official Pages, to provide a charitable donation, addressed to an unlimited number of persons, including the Benefactor.
1.2.2. Acceptance - full and unconditional acceptance of the Public Offer by taking actions to make a money transfer using the payment forms and means posted on the Official Pages, as well as by transferring funds to the Public Organization's current account through bank institutions. The moment of Acceptance is the date of crediting the funds to the bank account of the Public Organization.
1.2.3. Charitable donation is a free transfer by the Benefactor to the property of the Public Organization for the achievement of certain, pre-arranged activity goals, in accordance with the Agreement and the Law of Ukraine "On Charitable Activities and Charitable Organizations".
1.3. The Public Organization may enter into agreements regarding the provision of a charitable donation in a different manner and/or under different conditions than provided for in this Offer. The benefactor can separately apply to the Public Organization to conclude such an agreement.
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the free and voluntary transfer by the Benefactor to the property of the Public Organization of funds by making a charitable donation for the implementation of the statutory activities of the Public Organization.
2.2. The benefactor independently determines the size of the charitable donation. The Public Organization independently determines the directions for the use of the charitable donation within the framework of its own statutory activity, unless otherwise determined by the Benefactor in accordance with the procedure specified in this Agreement.
2.3. The subject of this Agreement not intended to make a profit by any of the Parties, directly or indirectly.
2.4. The Benefactor's transfer of funds under this Agreement recognized as a charitable donation in accordance with Art. 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations".
2.5. The Benefactor's acceptance of this Public Offer carried out by paying the Charitable Donation.
3. PUBLIC ORGANIZATION ACTIVITIES
3.1. The Public Organization was created with the main purpose of promoting the development and research of psychological education, culture in society, the development and popularization of deep psychology and psychotherapy, and overcoming the socio-psychological consequences of the war in Ukraine.
3.2. The Public Organization carries out charitable activities in accordance with its Charter, in particular, in such areas as: provision of psychological assistance, including the issue of overcoming the social and psychological consequences of the war in Ukraine; research and analytical activities in the field of psychology and psychotherapy; promoting the development of Ukrainian psychology and psychotherapy; cultural and educational activities; education, training and educational activities in the field of psychology; development of international cooperation in the field of psychology and psychotherapy.
3.3. The activity of the Public Organization not aimed at making a profit.
3.4. Information on the activities of the Public Organization and reports on the results of such activities posted on the Official Pages.
4. DONATION
4.1. The benefactor independently determines the size of the charitable donation.
4.2. The charitable donation is voluntary and is not subject to further return to the Benefactor.
4.3. In accordance with this Agreement, charitable donations are provided by Benefactors and used by the Public Organization to conduct and ensure charitable activities (implementation of directions, goals of charitable activity and charitable programs) of the Public Organization in accordance with the Statute and legislation of Ukraine. The benefactor agrees with the purpose of his donation.
4.4. Charitable donations made by transfer using the payment forms and means posted on the Official Pages, as well as by transferring funds to the current account of the Public Organization through bank institutions.
4.5. The collection of charitable donations continues until the moment of the liquidation of the Public Organization, unless another period is determined by the Public Organization.
5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Public Organization undertakes to use the funds of the Benefactor's charitable donation in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.
5.2. The Public Organization has the right to independently determine the directions for the use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, except for cases where the Benefactor has determined the specific purpose of his donation under a separate agreement with the Public Organization. Thus, if the Benefactor does not specify the specific purpose of the charitable donation, it is considered that the Public Organization made the donation for the performance of statutory activities.
5.3. The benefactor has the right to receive information about the use of his charitable donation. For this purpose, the Public Organization may post financial reports on the Official Pages, which include information on the amounts of donations received by the Public Organization during the reporting period and/or the Public Organization's expenses during the reporting period. At the Benefactor's written request, the Public Organization may also confirm the intended use of the charitable donation with additional documents. Access to reports on the use of charitable donations provided by the Public Organization in the manner and within the time limits stipulated by the current legislation of Ukraine and this Offer.
5.4. By making a charitable donation, the Benefactor definitely confirms his legal capacity, voluntary performance of the deed, as well as the fact that the object of the charitable donation is not subject to prohibition, seizure, is not in lien, and was not obtained in violation of the Law of Ukraine "On Prevention and Counteraction of Legalization (Laundering) of Income, proceeds of crime, the financing of terrorism and the financing of the proliferation of weapons of mass destruction." In the event that the Public Organization has reasonable doubts about these statements, the Public Organization has the right to ask, and the Benefactor undertakes to provide appropriate corroborating evidence of these statements.
5.5. The Public Organization undertakes not to transfer the e-mail address and other information about benefactors to third parties, with the exception of cases provided for by the current legislation of Ukraine.
5.6. The Public Organization is not responsible for the disclosure of personal data that occurred as a result of illegal actions of third parties or in the event that such disclosure occurred with the Benefactor's consent.
5.7. The benefactor is obliged to independently monitor changes to the terms of the Public Offer Agreement by reviewing the current new (up-to-date) edition on the Official Pages.
6. ACCEPTANCE
6.1. The moment of Acceptance is the date of money transfer and/or crediting of funds to the bank account of the Public Organization.
6.2. Acceptance of the Offer means that the Benefactor agrees with all its provisions and is fully aware of and agrees with the subject of the Agreement, for the purpose of public collection of donations and with the right of the Public Organization to use a part of the Benefactor's charitable donation for the administrative expenses of the Public Organization, in an amount not greater than what is stipulated legislation of Ukraine.
6.3. Benefactor and Public Organization, guided by Art. 639, Art. 641, 642 of the Civil Code of Ukraine, agree that the Agreement is considered concluded from the moment of Acceptance. At the same time, the Parties agree that the parties' failure to comply with the written form of the transaction does not mean its invalidity.
6.4. The Public Organization processes the Benefactor's personal data provided when visiting the Official Pages and/or making a money transfer (hereinafter - personal data) for the purpose of proper implementation of this Agreement and its statutory activities.
7. FINAL PROVISIONS
7.1. The provisions of the current legislation of Ukraine apply to the relationship between the Benefactor and the Public Organization.
7.2. The Public Organization's liability for violation of this Agreement or the procedure for the use of charitable donations occurs on the grounds, in the amount and in the manner determined by the requirements of the current legislation of Ukraine.
7.3. This public offer contract comes into force from the moment of its posting on the Official Pages and is valid until the moment of liquidation of the Public Organization, unless the Public Organization determines another term. The provisions of this clause also apply to additions (amendments) to this Public Offer Agreement.
7.4. The Public Organization has the right to change the terms of this Public Offer Agreement without the Benefactor's consent. The Public Organization reserves the right to unilaterally change the terms of the Public Offer Agreement at any time, without any restrictions, by publishing a new version of the Official Pages.
7.5. In the event of disputes between the parties to this Agreement, they must be resolved through negotiations. If it is impossible to resolve disputes through negotiations, disputes considered by courts in the manner established by the current legislation of Ukraine.
